Handing over your company, prepared and discreet
We work on behalf of owners selling their company outright or transferring a controlling majority stake, supporting the process from the initial assessment through to completion.
A sale cannot be guaranteed. Whether a transaction comes about depends on the company, the market and the negotiations.
For most owners, a company sale is a once-in-a-career event
Potential buyers and their advisers may approach transactions routinely. Thorough preparation helps balance that difference in experience.
So our work does not begin with the buyer search but with the question of whether the company is presented in a way that survives scrutiny. Gaps in the documentation regularly cost either price or time.
We act exclusively for the selling side and disclose how we are paid.
From first contact to completion
Five phases that build on one another.
First contact
A confidential conversation about the position, the objective and the time frame — with a confidentiality agreement in place before documents are exchanged, if you prefer.
Preparation
We review the figures, contracts and structures, organise the documentation, prepare the company presentation and develop a supportable valuation range.
Confidential buyer search
We identify strategic and entrepreneurial buyers whose criteria align with the company and approach them initially on a no-names basis.
Review and negotiation
We coordinate due diligence and the data room and support the negotiation of price, structure and terms, together with the client's legal and tax advisers.
Completion
Support through to signing and closing, including the resolution of open points between the parties.
Share sale or asset sale
Either route can support a full sale or the transfer of a controlling stake. The appropriate structure depends on the tax implications, contractual arrangements and liability considerations.
Sale of shares
Shares in the company are transferred — as a majority or in full. In a share sale, the company remains the same legal entity; its contracts, permits and employment relationships generally remain in place. Change-of-control provisions, consent requirements and regulatory approvals must nevertheless be reviewed.
Sale of assets
Individual assets or business units are transferred. Which assets, contracts, employees and obligations transfer depends on the transaction structure, on what the parties agree and on the applicable law. Legal and tax questions are settled by suitably qualified professionals.
