Acquiring a business
We support entrepreneurs and strategic buyers acquiring a company outright or through a controlling majority stake — from defining the criteria through to completion.
We do not act for both sides of the same transaction. Whose mandate we hold is disclosed before any contact is made.
Acquisition processes often falter before negotiations begin
Common causes include unclear criteria, an overly broad search, or an approach that prevents a meaningful conversation from developing.
We therefore begin by defining what is to be acquired and why. From this, we develop a sufficiently focused search profile to support meaningful conversations rather than produce long, unfocused lists.
Target companies are approached anonymously at first. Who stands behind the enquiry is disclosed only when both sides want that.
From criteria to acquisition
Four phases with a clear division of work.
Search profile
We define sector, size, region, structure and the limits of what qualifies — including the level of ownership being sought.
Identification and approach
We identify potential targets and make contact discreetly. Many suitable companies are not openly for sale.
Review
We structure the due diligence, coordinate the specialist advisers and set the findings in context for the purchase decision.
Negotiation and completion
We support the negotiation of price, structure and terms through to signing.
What we look for in buy-side mandates
A controlling stake
We support acquisitions in which the buyer gains control. Acquiring non-controlling stakes is not part of our mandates.
Entrepreneurial intent
We work for buyers who intend to run or strategically integrate the business — not for purely financial participation.
